The Compensation Committee of the Company through its resolution dated April 2, 2010 has approved the following for the aforesaid options: (a) the vesting period shall stand amended from 3 years to a maximum of 5 years.(b) if the employee retires during this tenure the vesting date shall be the date of retirement.(c) if during the 4th and 5th year of the vesting period, the average of the closing market price of the shares of the company on the Bombay Stock Exchange and National Stock Exchange on each day exceeds the Exercise Price by not less than Rs.50/- for a consecutive period of thirty days, the options shall be deemed to have vested on the day immediately following the 30th day, as determined by the Compensation Committee.(d) the Exercise Period shall stand amended from 2 years to 3 years". |
