The Company has now informed the Exchange that the Executive Committee of Board of Directors of the Company at its meeting held on September 14, 2010, pursuant to resolutions passed through postal ballot under 81(1A) of the Companies Act, 1956 on September 01, 2010, has issued and allotted 1,60,00,000 Warrants convertible into equity shares to Arum Investments Private Limited at a price of Rs.51/- per warrant determined as per SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009 as amended from time to time. The Warrants holders have paid an amount equivalent of 25% of the consideration for the warrants before the allotment. The Warrant holders would be allotted one equity share of the Company, on payment of an exercise price of Rs.51/- per share, (including premium of Rs.41/- per share), being the price determined in accordance with the SEBI (ICDR) Regulations. The application for listing of the equity shares, that would be issued upon conversion Warrants, will be made at the time of the warrant holders exercising the option of conversion of Warrants into equity shares. |
