The share exchange ratios were recommended by two independent valuation experts viz., Grant Thornton and SSPA & Co. As consideration for the amalgmation, shareholders of CBPL will receive 17 (Seventeen) fully paid equity shares of UBL of Re.1 (Rupee One) each for every 30 (Thirty) fully paid equity shares of CBPL of Rs.10 (Rupees Ten) each.
2011-03-11 13:28:00.0	Abb Limited	Acquisition	Abb Limited has informed the Exchange that the Board of Directors of the Company at its meeting held on March 11, 2011 has approved a proposal of acquisition of operating businesses of the wholly owned Indian subsidiary of the ABB Group, Zurich, viz., ABB Global Industries and Services Limited (ABBGISL) for a consideration of Rs. 4000 million, as a slump sale on a going concern basis. This acquisition of operating business of ABBGISL ABB Limited has been made to have business synergies. The businesses which are proposed to be acquired are (a) Transformer Insulation - Boards and Components, (b) LV Breakers & Switches and (c) Vacuum Interrupters, which all together is expected to generate additional revenue of approximately Rs. 2500 million on a full year basis. The effective date of the acquisition is fixed as April 01, 2011.
